Board Approves Warrant Issuance to Promoter Group Entity

Brigade Enterprises' board approved on 15 July 2026 the issuance of up to 34,23,000 convertible warrants at ₹526 per share (face value ₹10, premium ₹516) to promoter group entity Mysore Holdings, raising approximately ₹180 crore.

About the Warrants

Each warrant is convertible into one equity share of the company. The issuance is typical of publicly listed developers raising capital from promoter groups, which allows existing investor families to deepen their ownership stakes through instruments convertible into common shares.

Brigade Enterprises: Context and Scale

Brigade Enterprises was founded in 1986 by M.R. Jaishankar and has developed over 275 buildings totaling more than 80 million square feet. The company is headquartered in Bangalore with operations across Mangalore, Mysore, Chennai, Kochi, Hyderabad, Chikmagalur, and Ahmedabad.

Its portfolio spans residential projects such as apartments, villas, and townships; commercial spaces including offices and World Trade Centers; retail malls; and hospitality services like hotels and serviced apartments.

Capital Structure and Promoter Holding

The company's current promoter holdings stand at 41.1%. This warrant issuance reflects the promoter group's confidence in the company's long-term value and strategy, allowing them to increase their stake through equity conversion at a predetermined price and schedule.

Recent Momentum and Financials

Brigade recorded record real-estate sales of ₹7,847 crore in 2024, representing a 31% year-on-year increase. The company targets 15–20% growth in FY26 and maintains a debt-equity ratio of 0.14% as of March 31, 2025.
