Brigade Board Reverses Warrant Issue Following Investor Feedback

Brigade Enterprises' Board of Directors has cancelled the proposed ₹180.05 crore preferential convertible warrant issue to promoter entity Mysore Holdings Private Limited. The reversal came swiftly: just two days after initial board approval on July 15, 2026, the company completely terminated the promoter's equity infusion plan.

What Happened

The proposed issue comprised 34,23,000 convertible warrants convertible into an equal number of equity shares at ₹526 per share, aggregating to ₹180,04,98,000. Each warrant was convertible into one equity share at a conversion price of ₹526 per share, comprising a face value of ₹10 per share and a premium of ₹516 per share.

Following the initial approval, the promoter group entity received feedback from institutional investors and funds regarding their sentiments about the proposed warrant subscription. In light of this investor feedback, the promoter group entity decided to withdraw its subscription to the convertible warrants.

The Board meeting to approve the cancellation commenced at 2.00 p.m. and concluded at 2.25 p.m. on July 17, 2026.
