Brigade Enterprises unit to raise debt from IFC for middle-income housing

Published

Brigade Enterprises Limited, the listed parent of the Bengaluru-based Brigade Group, has entered into an Investment Framework Agreement with the International Finance Corporation (IFC), the private-sector arm of the World Bank Group. The arrangement, disclosed on 4 November 2026, is aimed at channelling funds into eligible middle-income housing projects across the group's residential portfolio.

The funding route runs through Venusta Ventures Private Limited, a wholly-owned subsidiary of Brigade Enterprises. Venusta will issue unsecured, rated, redeemable, rupee-denominated non-convertible debentures to IFC. The debentures are planned to be issued in one or more tranches, and the company intends to list them on the wholesale debt market segment of the BSE. The capital will be raised entirely through debt, so the arrangement involves no equity dilution for the parent.

Key terms of the framework

The framework sets out a structured role for IFC in the subsidiary's governance. Under the agreement, IFC will have the right to appoint a director to the board of Venusta Ventures and the right to restrict any change to the subsidiary's capital structure. IFC is treated as a financial investor and will not hold shares in Venusta under this arrangement. The transaction has been classified as not being a related party transaction.

The disclosure was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The framework is described as a vehicle for bringing institutional capital into residential developments that fall within the middle-income category, rather than a financing tied to any single project.

About the developer and its subsidiary

Brigade Group was established in 1986 by M.R. Jaishankar and has built a presence across residential, commercial, retail, hospitality and education. Brigade Enterprises is the listed real estate development company within the group, promoted by Mr. Jaishankar and his family. Its office portfolio has been a steady contributor to recurring income, and a November 2025 ICRA rating note pointed to occupancy above 90 percent in its office space and collections of more than Rs 6,000 crore expected from the residential segment.

Venusta Ventures was incorporated on 26 February 2022 and is registered with the Registrar of Companies in Bengaluru. ICRA classifies it as a 100 percent subsidiary and includes it in full consolidation. The company has authorised and paid-up capital of Rs 1.00 crore each.

The IFC framework comes alongside other financing steps. Brigade Enterprises' board has approved raising Rs 1,500 crore through privately placed non-convertible debentures and Rs 180 crore through convertible warrants. Shareholders are also set to vote on increasing the company's borrowing limit to Rs 10,000 crore, from total borrowings of Rs 3,007 crore as of 31 March 2026.

What comes next

The next visible step is the issuance of the debentures to IFC in one or more tranches, once the conditions for each issue are met. Listing on the BSE wholesale debt segment will follow the issuance. No dates have been announced for the first tranche, the issue or the listing, and the amounts and tenor of each tranche are yet to be disclosed. Market participants will be watching the BSE filings for those details as the framework moves from agreement to execution.
